- MBC shall be a non-governmental, non-political and a non-profit organization

1. Categories of Membership The MBC shall comprise the following categories of membership:

All Members (except Spouse Members) shall enjoy the following rights:

To
use any facilities provided by the MBC for the general use of its
Members, (unless the Spouse Member(s) has been specifically granted
permission by the Executive Committee
- To attend Annual General Meetings and Extraordinary General Meetings of MBC (except Spouse Members).

To call for Extraordinary General Meeting (only by eligible
voting Members) through the written request of not less than one
quarter of the eligible voting Members.

To attend all functions, events and activities arranged by the
MBC. (For Spouse Members - unless at functions, events and activities
which Spouse Members are invited).
- To be eligible to receive assistance and advantages within the scope of the objectives of MBC.
- Members (including Spouse Members) shall comply with this
Constitution and Policies and Rules of MBC as when amended from time to
time.
- No Member of all categories shall, by reason of membership of
MBC, be liable for any debts or obligation of MBC in the absence of an
express written promise to accept such liability.
- Eligibility to nominate, to be nominated and to stand for
election, including voting rights, are limited to only Ordinary
Individual Members and representative(s) of Ordinary Corporate Members
(who must be Malaysian citizen(s) or permanent resident(s) of
Malaysia).
- Non-Malaysian representatives of Ordinary Corporate Membership
are only eligible to nominate and vote but they are not allowed to be
nominated to stand for election as office bearers of MBC.
- Associate Members and Spouse Members are not eligible to
participate in the election process, including nominating, standing for
election and voting.

The Annual Subscription Fees shall be payable on joining and on an annual basis.

The Annual Subscription Fee per calendar year for Ordinary Corporate Membership shall be USD600.00, for Ordinary Individual Membership shall be USD120.00 and for Associate Membership shall be USD120.00. There shall be no Annual Subscription Fee for Spouse Membership which shall be registered completely free of charge. A one time Joining Fee for ALL categories of membership, except Spouse Membership, shall be USD 10.00.
- Any changes to the Annual Subscription Fees, as may be proposed by the Executive Committee from time to time, shall only be effective if a resolution is passed by a simple majority of Members who are entitled to vote at any General Meeting, including at Extraordinary General Meeting and at Annual General Meeting.
- Subscription fees shall be payable annually on the 1st of January of each calendar year or on the date of approval of Membership in the case of new Member joining during a calendar year.
- Payment of subscription fees received by 31st January of each calendar year shall enjoy “early bird” special rate at USD 500 only for Ordinary Corporate Member, at USD 100 only for Ordinary Individual Member and USD 100 only for Associate Member.
- All subscription fees shall be pro-rated for new Members who join by 30th September during the calendar year at USD 50 per month for Ordinary Corporate Member, at USD 10 per month for Ordinary Individual Member and at USD 10 per month for Associate Member, multiply by number of months for the year. However, the Joining Fee of USD 10.00 shall not be pro-rated.
- All new Members of all categories joining in the months of October, November and December shall pay pro-rated subscription fees of current year plus full year renewal fees of the following year at date of joining. However, they shall be eligible to enjoy and pay the renewal fees at the “early bird” special rate, as defined in Article 7 (5) above.
- Subscription fees shall be payable to the Treasurer by cash or by such other method as may be acceptable to the Treasurer.
- Subscription fees payable will be retained to meet the ongoing costs of the MBC.
- No refund of subscription will be given should a membership cease for any reason during the year.
- Member not paying the Annual Subscription Fee is liable to be expelled from the MBC after being served 2 notices. The 1st notice period shall be one month from the date of notification. Should a period of 3 months expire from the date of 2nd (final) notice and still without any payment being made to MBC, the membership with MBC will automatically expire without further notice.
- The total fee to re-activate an expired membership (for all categories) in any month of the year shall be the full Annual Subscription Fee of the year for each category of membership respectively.
- There shall be no re-activation of expired membership of more than a year. Members concerned who are still interested to re-join shall re-apply and such application shall be treated as a new application subjected to Article 5 (2) Membership and the Joining Fee of USD 10.00 shall apply.

- The MBC shall have an Executive Committee to be responsible for day to day running of the Association and to conduct its affairs.
- The Executive Committee may form sub-committees (to take care of different portfolios) from time to time to assist in the running of the MBC. Any Members of the Executive Committee may be the Head of any Sub-committee who may then select any other Member(s) (including representatives of Corporate Members, Individual Ordinary Members and Associate Members who are in good standing in MBC) to form the Sub-committee.

- The President of the MBC shall exercise general supervision over the affairs of MBC and represent the entire MBC in external relations.
- The president shall be the Chairman of all meetings of the Executive Committee and meetings of the MBC. In his absence, the Senior Vice-President ( or The Vice President should the Senior Vice President is also absent) shall take his place.
- In any meeting of the MBC or any other meeting of the Executive Committee, should there be an equal number of votes for or against a motion, the Chairman of the meeting shall, in addition to his own vote, have a casting vote.
- The two Vice Presidents shall assist the President in his functions. In the absence of the President, the Senior Vice President shall have the same powers and authority as vested on the President.
- Likewise, as in the absence at the same time of both the President and the Senior Vice President, the Vice President shall also have the same powers and authority as vested on the President.
- The Honorary Secretary shall be take care of all administrative matters and keeps all records (with the exception of financial records) which shall be for the perusal only by the incumbent MBC Executive Committee.
- The Treasurer shall keep all funds and collect all monies on behalf of the Executive Committee of MBC. The Treasurer shall keep a correct account of all financial transaction of MBC.
- The six (06) elected Executive Committee Members shall have the equal right to decide and vote for or against a motion at any meeting of the Executive Committee as any other principal officers (namely, the President, Senior Vice President, Vice President, Honorary Secretary and Treasurer).
- The Executive Committee may at their discretion invite up to two (02) Ex-officio to join the Executive Committee and the Ex-officio shall be an officer(s) of the Malaysia Embassy / Consulate, appointed by the Executive Committee to this position.
- The Ex-officio shall not participate in any voting process in the Executive Committee and shall only offer advice and guidance to the Executive Committee.

- The Executive Committee shall comprise:
- Duties of Members of Executive Committee.
- Any Member who is eligible and is elected as President, Senior Vice President, Vice President, Honorary Secretary or Treasurer into the Executive Committee is only allowed to serve office for two (02) consecutive terms, that is, a maximum of four (04) consecutive years.
- At the end of the second term, the said office bearer is no longer eligible to be nominated or to be re-elected to the same position in the Executive Committee at the third consecutive term except as a Committee Member.
- Selected and invited Members of Sub-Committees may not be allowed to take part in any voting process of the Executive Committee, unless agreed to or invited.
